Loyalty Program Terms of Use

SECTION 1. OVERVIEW These Silver Jeans Co. [Program Name] (“Program”) Terms and Conditions (“Program Terms”), are Supplemental Terms under the Silver Jeans Co. Terms of Use and are part of the agreement between you and Silver Jeans Co. (“Silver Jeans Co.”, “we”, “us”, “our”). THE DISCLAIMERS; LIMITATIONS ON LIABILITY; INDEMNITY; GOVERNING LAW; SEVERABILITY; WAIVER; and DISPUTE RESOLUTION sections in the Terms of Use will, as if restated in these Program Terms, govern these Program Terms and any controversy or dispute between Silver Jeans Co. and you arising out of or related to these Program Terms or the Program. THIS MAY INCLUDE THE REQUIREMENT FOR YOU AND SILVER JEANS CO. TO RESOLVE DISPUTES THROUGH INDIVIDUAL, BINDING ARBITRATION AND NOT AS A CLASS ARBITRATION, CLASS ACTION, ANY OTHER KIND OF REPRESENTATIVE PROCEEDING, OR BY JURY TRIAL.

Please read these Program Terms carefully because they affect your legal rights. By participating in the Program, you become a "Member" and may be granted access to certain benefits online at www.silverjeans.com (“Membership”). These Program Terms together with the Terms of Use constitute the entire agreement between you and Silver Jeans Co. relating to your use of and/or participation in the Program.

SECTION 2. MEMBER’S ACCEPTANCE OF TERMS Any additional terms and conditions, rules, regulations, policies and procedures we make available to you as part of the Program are incorporated into and form part of these Program Terms. By participating in the Program, you agree to the Program Terms. Each Member is responsible for remaining knowledgeable about the Program Terms.

SECTION 3. SILVER JEANS CO.’S RIGHT TO CHANGE/CANCEL PROGRAM AND/OR TERMS Silver Jeans Co. may, at its discretion, alter, limit or modify the Program structure or any other feature of the Program, including but not limited to Program benefits; how Points (defined below), Program Tiers (defined below), or other benefits are earned, calculated or redeemed; or the expiration rules of Points or Program Tiers. Silver Jeans Co. reserves the right to change or modify these Program Terms or terminate the Program at any time, for any reason, without prior notice. Your continued participation in the Program after any such changes or modifications will confirm your acceptance of such changes or modifications.

SECTION 4. ELIGIBILITY To participate in the Program, you must be a legal resident of the United States or Canada and be of the age of majority in your state or province of residence. If you do not meet these eligibility requirements, you may not participate in the Program. A Member is not required to make a purchase to qualify for the Program. Silver Jeans Co. reserves the right, in its sole discretion, to determine your eligibility for the Program.

SECTION 5. HOW TO PARTICIPATE Participation in the Program is without charge and optional. To participate, you must create an account on www.silverjeans.com and provide the required information. During account creation, you will be automatically enrolled in the Program if the consent checkbox is left ticked. You may opt out during signup by unchecking the box or at any time after signup in your account settings. Upon successful enrollment, you will become a Member. You represent that all information you provide during registration and throughout your participation in the Program is true and accurate, and you agree to update such information, as necessary to maintain its truth and accuracy.

SECTION 6. POINTS, TIERS, PROGRAM BENEFITS, AND EXCLUSIONS

  • Earning Points. By participating in the Program, Members will be eligible to begin earning points on eligible purchases (“Points”). For each $1 (USD or CAD, depending on the currency of the transaction) you spend on eligible purchases online at www.silverjeans.com, you will receive one (1) Point. For a purchase to be eligible for Points, you must be logged into your Member account at the time of purchase. Points cannot be purchased or transferred, are not redeemable for cash, and have no cash value.

    You will not earn Points on applicable taxes, duties, or shipping fees, or on the purchase of a gift card. However, purchases paid for with a gift card are eligible to earn Points. If you return an eligible purchase (in whole or in part), Points will be deducted from your account to reflect the refunded amount.

    Points will be credited to your account upon the shipment of your online order.

  • Redeeming Rewards. You may redeem your Points for a reward, such as a discount on a future purchase (“Reward”). Rewards are for your personal use only and cannot be sold or transferred. Rewards may not be combined with other promotions, discounts, or offers unless explicitly stated otherwise. A minimum number of qualifying purchases may be required before a Reward can be redeemed. Specific details on Reward redemption will be available in your Member account dashboard.

  • Program Tiers. The Program includes multiple membership tiers (“Program Tiers”). Tiers are granted upon reaching a specific spending threshold on qualifying purchases within a rolling 12-month period. Each tier unlocks additional benefits, which may include point multipliers for every dollar spent. Your tier status is valid for one year from the date you qualify. You must re-qualify for the tier status each year to maintain it.

  • Expiration of Points. Points earned in this Program do not expire. However, if your Membership is terminated, all accumulated Points will be forfeited.

Other Program Benefits. You may also receive additional benefits by participating in the Program (“Program Benefits”) such as exclusive offers or opportunities to earn bonus points. Program Benefits are subject to change at any time without notice. For further details on current Points, Rewards, Program Tiers, and other Program Benefits, please visit your account dashboard on www.silverjeans.com.

SECTION 7. GENERAL TERMS OF PROGRAM Limit one (1) Membership per person. You will receive Program-related emails from Silver Jeans Co. while you are a Member (e.g., point balance statements, reward notifications). To cancel your Membership, or for any other Program-related questions, please contact our Customer Service team.

Silver Jeans Co. reserves the right, in its sole discretion, to suspend and/or terminate any Member’s participation in the Program for any reason, including for suspected reseller and/or wholesale activity, or in the event of any suspected fraud, abuse, or misuse in connection with this Program. In the case of suspected fraud, abuse or misuse, the account may be terminated along with all accrued Points and benefits.

SECTION 8. TERMINATION These Program Terms are effective unless and until terminated by Silver Jeans Co. or until your Membership is terminated by Silver Jeans Co. or you. Termination of your account will cause your Membership to be terminated. Should your Membership be terminated for any reason, you will lose all accumulated Points, Rewards, and Program Benefits. If Silver Jeans Co. permits you to later rejoin the Program, you will not be credited with Points for past purchases and any Points, Rewards and Program Benefits earned during your prior Membership will not be restored to you. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of these Program Terms for all purposes.
